Social Value Terms and Conditions

1. Interpretation

1.1

These Social Value Terms and Conditions shall at all times be read in conjunction with the Council’s Standard Terms and Conditions. If there is any ambiguity or inconsistency in or between the Standard Terms and Conditions and these Social Value Terms and Conditions, the Social Value Terms and Conditions shall take precedence.

1.2

The definitions set out in the Standard Terms and Conditions shall apply to the Contract, including to these Social Value Terms and Conditions, unless otherwise expressly defined in these Social Value Terms and Conditions. For the avoidance of doubt, any references to clauses stated in these Social Value Terms and Conditions shall be in relation to the clauses which are contained in the Social Value Terms and Conditions unless expressly stated otherwise.

1.3

In these Social Value Terms and Conditions, the following words will have the following meanings:

Defined term Meaning
Contract Award means the date the Contract is awarded as set out in the award letter. 
Deliverables means the Goods, Services and/or Works delivered as part of the Contract.
ITT means the invitation to tender/tender documents.
Living Wage Foundation means the following organisation:
Living Wage Foundation, Citizens UK Head Office, Jacquard Point 1 and 3, Tapestry Way, E1 2FJ
Living Wage Foundation (link opens in new window)
Real Living Wage means the rates of pay published by the Living Wage Foundation, as updated from time to time.
SIB means the Strategic Investment Board in Northern Ireland.
Social Value Delivery Plan ‘the SV Plan’

means a detailed proposal by the Contractor setting out how they intend to deliver the Social Value Offer. The plan should include, as a minimum:

1. Brief explanation of how each SV Initiative will be delivered demonstrating understanding of the requirement and relevance i.e., relevant to the social value initiative selected
2. Delivery timescales ensuring timely delivery within the Contract Period
3. Detail/explanation of the sufficiently experienced and qualified resource (internal/external) that will be allocated to help support delivery.
4. Confirmation that SV Initiative selected is not claimed/ duplicated with other clients.
5. Confirmation that SV Initiative selected is additional to requirements stipulated in the tender.
6. For environmental SV Initiatives only demonstrate the ‘Strategy’:-
(a) Will deliver a measurable output over the Contract Period delivering an associated benefit and that any output/benefit is proportionate to the contract value and not considered negligible.
(b) Will be directly attributable to the contract/ relevant to the subject matter. 
7. Data Protection provisions, if applicable

Social Value Initiative ‘SV Initiative’ means the list of initiatives that the Contractor could choose from when considering their Social Value Offer and associated Social Value Points as set out in the Social Value Procurement Policy and the Schedule [3 ] of the ITT.
Social Value Monitoring Report ‘SV Report’ means the monthly report as set out in clause 9 of this Schedule.
Social Value Monitoring System means the online system the Contractor uses to report back delivery of the SV Plan. This is currently operated by SIB. 
Social Value Offer ‘SV Offer’ means the offer put forward by the Contractor (Schedule [3 ] of the ITT) at ITT stage and subsequently evaluated and accepted by the Council.
Social Value Point(s) ‘SV Point(s) means the points value attributed to the successful delivery/completion of each SV Initiative as put forward by the Contractor as part of the SV Offer.
Social Value Procurement Policy ‘SV Procurement Policy' means the Council’s social value procurement policy as published on the Council’s website which may be updated from time to time.
Social Value Credits ‘SV Credits’ means the predetermine payments by the Contractor to the Council due to non-delivery/poor performance of the SV Offer and subsequent accepted SV Plan as set out in clause 10 of this Schedule.
Social Value Terms and Conditions (also refer to as Schedule) means the conditions set out in this Schedule.
Standard Terms and Conditions means the Council’s terms and conditions as set out in Schedule [2a].
Sub-Contract means a contract between two or more suppliers, at any stage of remoteness from the Council in a subcontracting chain, made wholly or substantially for the purpose of performing (or contributing to the performance of) the whole or any part of this Contract.
Zero Hours Contracts means a type of contract between an employer and a worker according to which the employer is not obliged to provide any minimum working hours and the worker is not obliged to accept any work offered. 

1.4

In accordance with the Council’s SV Procurement Policy, this Contract will deliver measurable social value outcomes.
