15. Exclusion
15.1
During the Contract Period the Contractor shall notify the Council as soon as reasonably practicable if:
15.1.1 the Contractor considers that an exclusion ground within the Procurement Act 2023 and any associated regulations applies to the Contractor, including where the Contractor is put on the debarment list or becomes an excluded or excludable supplier by virtue of any associated persons, connected persons or subcontractors where information relating to such was provided under Section 28 of the Procurement Act 2023; and/or
15.1.2 there are any changes to the Contractor's associated persons within the meaning of the Procurement Act 2023.
15.2
If the Contractor notifies the Council in accordance with Condition 15.1.1 then the Contractor must promptly provide any information the Council reasonably requests in relation to the notification, including information to support an assessment of whether the circumstances giving rise to the exclusion ground are continuing or likely to occur again.
15.3
If the Contractor notifies the Council in accordance with Condition 15.1.2 above then the Contractor must promptly provide any information reasonably requested by the Council in relation to the change to the Contractor’s associated persons, including any information set out in the Procurement Regulations 2024.
15.4
The Council may terminate this Contract if:
15.4.1 the Contractor has failed to provide notification under Condition 15.1.1 as soon as reasonably practicable after the Contractor become aware that an exclusion ground within the Procurement Act 2023 and any associated regulations does or may apply to the Contractor;
15.4.2 the Contractor has failed to provide notification under Condition 15.1.2 as soon as reasonably practicable after the Contractor becoming aware of any changes to the Supplier's associated persons within the meaning of the Procurement Act 2023; and/or
15.4.3 any notification or information provided by the Contractor under Condition 15.1, 15.2 and/or 15.3 is incomplete, inaccurate or misleading.
